Business Start-up Planning:
A substantial portion of our clients start their business by coming to us for advice. In general, starting a business requires timely dispatching a mixture of legal and accounting functions. We are blessed to work with several law firms in Northeast Ohio; relationships that ensure nothing falls through the cracks as you begin your venture.
We review business plans, help choose the most tax-efficient legal structure, ensure the business gets registered with appropriate governmental agencies and carefully review tax elections to ensure a new venture gets a quick start.

Capital Formation:
When you have a financing need, we will combine our familiarity with your business that we gained through tax and/or accounting services, with our financing experience and contacts to help ensure you obtain the financing you deserve.
When we package a loan request for capital or debt financing, lenders know they will be working with a logical and well supported request. We have experience obtaining SBA loans, traditional bank financing, private financing, and private equity. Having successfully refinanced less-than-investment-grade businesses, we are confident that we can assist in any financing needs for a quality business like yours.
Business Planning & Strategic Reviews:
Processing your tax return and preparing your prior period financial statements are things that need to be done. Unfortunately, they may not be useful in helping you meet your goals and/or growing your business. Therefore, we perform strategic reviews and business valuations.
Strategic reviews consist of an assessment and discussion of where your business has been and where it is going. They are aimed at keeping business owners focused on the big picture. That is - evaluating how the business is going to help the owner meet their personal and financial objectives.
This is accomplished by (1) reviewing the past financial information, (2) analyzing future financial needs including the value of your business and (3) developing and revising of a strategic plan that includes an exit strategy for retiring or selling the business.
We encourage our clients to have a strategic review at least once per year. Forcing this "big picture" view is the only manner to accurately gauge if clients are making progress toward their goals, standing still or falling behind.
Mergers, Acquisitions & Business Brokerage:
When you are considering the purchase or sale of a business, you will find Schulte & Company's in-depth experience invaluable. Asking the right questions and properly structuring the transaction can significantly change the economics of the deal. Our experience in asking the right questions and structuring transactions ranges from IPO's of multi-national businesses to asset transfers within a single state.
We have helped countless clients acquire their businesses, merge with competitors, and/or sell their business when its time to hang up the cleats.
The integral question in buying and selling any business is "What's it worth?" We have extensive experience in answering this question. Through periodic meetings, we work with our clients to help them develop a succession plan for the business - an "exit strategy". Then we determine the value of their business to see if its time to exit and, if not, what has to happen to get to the strike price.
If its time to "exit", then we help; including marketing the business to our clients and associates.
Business Valuations:
The experience we have earned from actually buying and selling businesses has made the Schulte & Company team "street wise" in determining what a business is worth. Besides just confirming what a business is worth, our business valuations are used in many ways - estate planning, divorce, litigation, and financial planning.
Our typical business valuation involves determining the value from multiple approaches. When available, the starting point is multiple years of historical financial information that is then adjusted for unusual one-time events and the adjusted based on changes to the business plan. We look for intangibles and compare similar businesses that have sold or are for sale.
Expert Testimony & Litigation Support:
We use our capabilities as auditors to support you with expert testimony and documentation. Coupled with business valuations, financial statements and tax returns, we have proven ourselves as dependable expert witnesses.
Though other firms can provide valuations and analysis, few have the poise and experience to meaningfully impact the outcome of litigation.
Estate Planning:
Death is immediate and permanent. If you don't take time now to examine where your affairs will be when you die, your loved ones will have to live with the consequences.
